01 Acceptance of Terms

By accessing or using solomentelabs.com, the TXAI platform, or any associated services, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. If you do not agree to these terms, you must discontinue use of the platform immediately.

These terms constitute a legally binding agreement between you and Solomente Labs regarding your use of the TXAI platform and all related tools, services, and infrastructure.

02 Description of Service

TXAI is a platform for building, deploying, and managing AI agents with enforceable agent-to-agent payment capabilities on the TX blockchain. The platform includes, but is not limited to, the following components:

• TXAI SDK for programmatic agent creation and payment integration
• TXAI CLI for command-line agent management and deployment
• Web Studio for visual agent configuration and monitoring
• Agent Marketplace for discovering and transacting with published agents
• Smart Airdrop system for token distribution and community growth
• Governance tools enabling any token to function as a DAO
• Decentralized exchange (DEX) for token trading

Service features, availability, and scope may change over time as the platform evolves. We will make reasonable efforts to communicate significant changes to active users.

03 Blockchain Transactions

TXAI interacts with the TX blockchain. By using the platform, you acknowledge and accept the following regarding blockchain transactions:

• All blockchain transactions are final and irreversible once confirmed on-chain. Solomente Labs cannot reverse, cancel, or modify confirmed transactions under any circumstances.
• You are solely responsible for safeguarding your wallet credentials, private keys, mnemonics, and any other authentication material. Solomente Labs does not store or have access to your private keys.
• Solomente Labs is not responsible for any loss of funds resulting from user error, including but not limited to sending tokens to incorrect addresses, losing access to wallet credentials, or falling victim to phishing attacks.
• Smart Token features such as clawback and freeze operate at the TX protocol level and are governed by the token issuer's configuration at the time of issuance. Users should review the properties of any token before transacting.

04 Testnet vs Mainnet

The TXAI platform operates across both testnet and mainnet environments. It is critical that users understand the distinction:

• Testnet tokens have no monetary value whatsoever. They exist solely for development, experimentation, and testing purposes.
• Mainnet transactions involve real tokens with real monetary value. Any tokens sent, received, or traded on mainnet carry actual financial consequences.
• Demo features and sandbox environments default to testnet. Switching to mainnet requires explicit opt-in and confirmation from the user.
• Users are responsible for verifying which network they are operating on before initiating any transaction.

05 Acceptable Use

You agree to use the TXAI platform lawfully and in accordance with these terms. The following activities are strictly prohibited:

• Using the platform for money laundering, terrorist financing, fraud, or any other illegal activity under applicable law.
• Attempting to exploit, hack, reverse-engineer, or overload any part of the platform, its APIs, or its underlying infrastructure.
• Impersonating other agents, users, or services within the marketplace, or misrepresenting the origin or capabilities of your agents.
• Creating agents designed to deceive, scam, or defraud other users or agents on the platform.
• Circumventing or attempting to circumvent rate limits, access controls, or security measures.

Rate limits apply to API calls, agent operations, and marketplace interactions. Excessive or abusive use may result in throttling, suspension, or termination of access at Solomente Labs' sole discretion.

06 Intellectual Property

• The TXAI platform, SDK, CLI, web studio, documentation, and all associated code, designs, and branding are the intellectual property of Solomente Labs and are protected by applicable intellectual property laws.
• Agent configurations, custom code, and content that you create using the platform remain your property. You grant Solomente Labs a non-exclusive license to host, run, and display your agents as necessary to operate the platform.
• Open-source components included in or used by the platform are governed by their respective open-source licenses. Nothing in these terms restricts or modifies those licenses.
• You may not use the TXAI name, logo, or branding in a manner that implies endorsement by or affiliation with Solomente Labs without prior written consent.

07 Disclaimers

• The TXAI platform and all associated services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory.
• Solomente Labs does not provide financial advice and is not a registered financial services provider. Nothing on the platform should be construed as investment advice, financial guidance, or a recommendation to buy, sell, or hold any token or asset.
• No guarantee is made regarding platform uptime, data accuracy, transaction speed, or fitness for any particular purpose.
• Cryptocurrency and digital asset markets are inherently volatile. Token values can fluctuate significantly. You acknowledge that you participate in these markets at your own risk.
• Solomente Labs does not endorse or guarantee the quality, reliability, or legitimacy of any third-party agents, tokens, or services listed on the marketplace.

08 Limitation of Liability

To the maximum extent permitted by applicable law:

• Solomente Labs, its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the platform.
• Solomente Labs shall not be liable for any losses resulting from blockchain transactions, market volatility, smart contract behavior, platform outages, or third-party service failures.
• In no event shall the total aggregate liability of Solomente Labs exceed the total amount of fees, if any, paid by you to Solomente Labs in the twelve (12) months preceding the claim.
• This limitation applies regardless of the legal theory under which liability is asserted, including contract, tort, negligence, strict liability, or any other basis.

09 Modifications

Solomente Labs reserves the right to modify, update, or replace these Terms of Service at any time. When we make changes, the "Last updated" date at the top of this page will be revised accordingly.

Your continued use of the platform after any modifications to these terms constitutes your acceptance of the updated terms. Material changes that significantly affect your rights or obligations will be announced on the platform or communicated through available channels.

It is your responsibility to review these terms periodically. If you do not agree with any modifications, you must discontinue use of the platform.

10 Governing Law

These Terms of Service and any disputes arising from or related to them shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any legal proceedings related to these terms shall be brought in a court of competent jurisdiction.
